Terms of Service

These Terms of Service (“Terms”) govern your access to and use of AgencyOS (the “Service”), provided by Rankingeek Marketing Agency (“we,” “us”). By creating an account or using the Service you agree to these Terms.

These Terms apply specifically to AgencyOS at https://client.rankingeek.com. Use of Rankingeek’s separate marketing-services business at rankingeek.com is governed by the Rankingeek Marketing Agency Terms & Conditions.

1. The Service

AgencyOS is an AI-first agency-operations platform that helps digital marketing agencies manage client analytics, search performance, advertising, tag management, and shared assets across their portfolio. AI features inside the Service produce recommendations and outputs only; human review is required before any AI-generated output is published or acted upon. Specific features may change as we improve the Service.

2. Accounts

You must be at least 18 years old and authorized to bind the organization on whose behalf you sign up. You are responsible for maintaining the security of your account credentials and for all activity under your account. You must notify us promptly of any suspected unauthorized use.

3. Acceptable use

You agree not to:

• Use the Service to access data you are not authorized to access.
• Reverse-engineer, decompile, or attempt to extract the source code of the Service except where this restriction is prohibited by law.
• Resell, sublicense, or rent the Service to a third party without our written consent.
• Use the Service to violate any law, infringe any third party’s rights, or transmit harmful or unlawful content.
• Interfere with or disrupt the integrity or performance of the Service.

4. Google account connections

AgencyOS integrates with Google services through the Google APIs. When you connect a Google account you authorize the Service to access only the scopes listed in our Privacy Policy. You can revoke access at any time from your Google Account permissions page or from inside the Service. You are responsible for ensuring you have the right to connect any Google account you authorize, including any agency-wide or client-owned account.

5. Customer data and ownership

As between you and us, you retain all rights in the data you submit to the Service or that we access on your behalf via the Google APIs (“Customer Data”). You grant us a limited, worldwide, non-exclusive license to use Customer Data solely to provide, secure, and improve the Service for you, in accordance with our Privacy Policy.

6. Fees

If your plan includes fees, you agree to pay them as invoiced. Fees are non-refundable except as required by law. We may change pricing on at least 30 days’ notice; price changes take effect at your next renewal.

7. Confidentiality

Each party will protect the other’s confidential information using reasonable care and will use it only as necessary to perform under these Terms.

8. Intellectual property

The Service, including its software, design, and content (excluding Customer Data), is owned by Rankingeek Marketing Agency and is protected by intellectual-property laws. We grant you a limited, revocable, non-transferable right to use the Service in accordance with these Terms.

9. Disclaimers

The Service is provided on an “as is” and “as available” basis. To the maximum extent permitted by law we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that all data will be accurate. The Service depends on third-party providers (including Google) whose availability we do not control. AI-generated recommendations and outputs may contain errors and require human review before they are relied upon.

10. Limitation of liability

To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, or data. Our total aggregate liability arising out of or related to these Terms will not exceed the fees you paid us in the 12 months preceding the event giving rise to the claim, or USD 100, whichever is greater.

11. Indemnification

You will defend and indemnify us against any third-party claim arising from your Customer Data, your use of the Service in violation of these Terms or applicable law, or your unauthorized connection of any Google account.

12. Termination

You may stop using the Service at any time and delete your account. We may suspend or terminate your access if you breach these Terms, if required by law, or if continuing the Service is no longer commercially viable. Upon termination your right to use the Service ends and we will delete or return Customer Data within 30 days, subject to legal retention obligations.

13. Changes to these Terms

We may update these Terms from time to time. Material changes will be communicated by email or in-product notice at least 14 days before they take effect. Continued use of the Service after the effective date constitutes acceptance.

14. Governing law

These Terms are governed by the laws of Delhi, India, without regard to conflict-of-laws rules. The courts located in Delhi, India will have exclusive jurisdiction over any dispute arising out of or related to these Terms, except that either party may seek injunctive relief in any court of competent jurisdiction.
